EVENT SPACE AGREEMENT BETWEEN IGNITE GLASS LLC AND [i4w_db_FirstName] [i4w_db_LastName] (LICENSEE)

IGNITE GLASS LLC (“Licensor”), with its principle place of business IGNITE GLASS STUDIOS located at 401 North Armour Street, Chicago IL 60642 (“the Premises”), agrees to lease the venue to [i4w_db_FirstName] [i4w_db_LastName] (“Licensee”).

    *If the expected guest count exceeds 220 guests, additional security will be required. (Please note that the Setup Start Time is the time that Ignite Glass Studios agrees to allow the client or the client’s vendors’ access to the space on the day of the Event. Vendors will not be permitted access prior to this time.)
  2. For and in consideration of the use of the Licensed Event Space pursuant to this Agreement, the client shall pay the venue $[i4w_exec] echo number_format([i4w_db__TotalEventFee], 2);[/i4w_exec]. A Fifty percent deposit is to be paid upon acceptance of this Agreement and the remaining balance is to be paid no later than thirty (30) days prior to the Event. The remittance check(s) should be made payable to Ignite Glass LLC. Please note: A 3% processing fee will be applied to all credit card transactions.

  3. CANCELLATION & DATE CHANGES: In the event that the Event is canceled for any reason, the venue will retain the full amount of the deposit paid. In the event the client terminates this Agreement or cancels the Event for any reason with less than thirty (30) days prior to the specific Event Date, the venue will retain the deposit paid, and any outstanding balance will be due immediately. Any changes to the contracted event date will be subject to a $1,000 additional fee and must be confirmed 30 days prior to the original event date.
  4. EXTENSIONS TO THE EVENT END TIME: On the day of the event, the client will have the option to purchase extensions to the Event End Time when available. The client may purchase thirty (30) minutes for $500.00. The client must notify the Event Staff no later than thirty (30) minutes prior to the existing Event End Time and provide payment at that time for the extension. In the event that the client, its vendors and/or volunteers have not vacated the Licensed Premises by the contracted Breakdown End Time, the client shall pay the venue an additional fee of $750 per 30 minutes.
  5. ADDITIONAL FEES: The client is to provide credit card information to the venue at the time of execution of this Agreement. If the credit card provided expires prior to the Event Date, the client will be required to provide updated information prior to the Event Date to be permitted access to the Premises. The venue reserves the right to charge the client’s credit card at its discretion, including but not limited to the following reasons:
    1. Property damage directly resulting from the client’s use of the premises, to the extent not paid by the client’s liability insurance, except for damage caused as the sole or direct result of any by the sole gross negligence, willful or intentional acts or omissions by Ignite Glass LLC, its agents, employees or contractors.
    2. The client agrees to restore the premises to a “broom-clean” condition acceptable to the on-site Event Staff, (including removal of cigarette butts), or to pay an additional fee in an amount of no less than $300.00.
  6. CATERING SERVICES: The venue makes no representations or warranties regarding any Caterer and they shall have no liability or responsibility for (i) any action, misconduct, failure or default by Caterer, (ii) the quality of service or food provided by Caterer, or (iii) any loose or damage to property or injury to any person occurring on or about the Facilities that is in any manner connected with the client’s use of the Caterer. Any complaints, claims or actions by the client against the Caterer shall be a matter solely between the client and the Caterer. “Drop-off” food service is not permitted for groups larger than 50 people.
    1. APPROVED CATERING SERVICES: For security and other reasons, the venue has prepared a list of Approved Caterers for all Events held at Ignite Glass Studios. No entity other than the Caterer shall supply any food or beverage service at Ignite Glass Studios. In the event that the client desires to serve food and/or liquor during the Event Period, the client, at its sole expense, shall contract directly with the Caterer for such arrangements.
    2. NON-PREAPPROVED CATERING SERVICES: If the event client wishes to contract a caterer not listed on the Ignite Glass Studios Approved Vendor List, the event client agrees to pay Ignite Glass Studios an administrative fee of $1000 for events taking place in the Main Event Space; In order to be permitted access to the Premises, any catering company not listed on the Approved Vendor List will need to be approved by Ignite Glass LLC. Each caterer is required to provide copies of it’s the following items at least 30 days prior to the contracted event date:
      1. A Copy of the vendors City of Chicago “Caterers Liquor License"
      2. A Certificate of Insurance listing Ignite Glass Studios as additionally insured, in accordance the terms of the Caterer/Vendor Agreement
      3. A signed copy of the Ignite Glass Studios Caterer/Vendor Agreement.
  7. THE CLIENT’S PROPERTY: The client must remove any of its personal property installed or located in the Licensed Premises at the end of the License Period unless it has been expressly agreed to by Ignite Glass LLC. The venues shall not be responsible for damages or loss of any of the client’s property, including, but not limited to, any merchandise, product, decorations, liquor or items left unattended on the Premises or any other portion of the Facility.
  8. LIABILITY FOR DAMAGES: The client shall pay the venue the cost of any repairs or replacement required to be made to the equipment, glass art, merchandise and or building fixtures located at or in the Licensed Premises as a result of damage caused during the Licensed Period by the client, its agents, employees, contractors, guests, or any persons admitted to the Licensed Premises by the client, except to the extent such damage was caused by Ignite Glass LLC, its agents, employees or contractors. The venue shall provide the client with a detailed billing and estimated accounting prior to the commencement of such replacement or repair of any damage caused by the client, its agents, employees, contractors or guests for the client’s prior consent, which will not be unreasonably delayed or withheld.
  9. THE VENUE’S PROVISIONS: The venue agrees to provide the Licensed Premises in broom-clean, usable condition and in reasonable repair. It is understood by the parties that no accessories and or materials, to include but not limited to furniture, computers and, cleaning equipment and supplies, of the building are included in this License Agreement.
  10. INSURANCE (Exhibit B): The client must provide the venue with evidence of a non-cancelable liability insurance policy naming Ignite Glass Studios as Certificate Holder and Ignite Glass Studios/Ignite Glass LLC, its members, partners, officers, agents and employees as Additional Insureds, in an amount not less than $1,000,000. A copy of the client’s liability insurance policy (and liquor liability insurance policy, if applicable) must be submitted to the venue no less than thirty (30) days prior to the commencement of the License Period. The client shall also require all Vendors and/or Third-Party Suppliers hired by the client for the event to maintain coverage consistent with the requirements and amounts described in the Ignite Glass Studios Caterer/Vendor Agreement. All insurance certificates, from the client and any applicable vendor, must be received thirty (30) days prior to the Event Date. The client for itself and each of the aforesaid insurance carriers shall waive any and all rights of subrogation against the venue for any and all claims paid thereunder.
  11. FORCE MAJEURE: The venue shall not be liable to the client for any failure, inability or delay in performing pursuant to this Agreement if caused by fire, strike, war, insurrection, government restrictions, an act of God, or any other cause beyond the reasonable control of Ignite Glass LLC. The venue shall notify the client of the Force Majeure condition as soon as it is practical to do so. In the event of a Force Majeure condition, the venue shall use every reasonable effort to reschedule and conduct the Event as quickly as possible after the Force Majeure condition has passed or the Facility has been restored.
  12. SECURITY: In order to maintain adequate security measures, the venue may require, in its sole judgment and based on the nature and or the size of the Event, additional security. Ignite Glass studios will retain additional security through an approved provider, however all associated fees for additional security personnel will be the responsibility of the client. Weapons of any kind are prohibited to be on Ignite Glass Studios premises and or property.
  13. RULES AND REGULATIONS (Exhibit A): The venue reserves the right to prescribe reasonable rules and regulations for the use of the Premises. The client, the client’s agents, employees, patrons, guests or invitees shall, therefore, use and occupy the Licensed Premises pursuant to all of Ignite Glass LLC’s rules and regulations. The client agrees to assume full responsibility for the character and acts or conducts of all persons admitted to the Licensed Premises during the License Period. The venue reserves the right at any time to eject unruly, disorderly or otherwise disruptive persons from the Facility, including the Licensed Premises, and the client hereby waives any right or claim for damages in connection with Ignite Glass LLC’s exercise of this right. Ignite Glass Studios reserves the right to close its Gallery, at the discretion of the event manager at any given point during an event.
  14. TRADE SERVICES: The venue may provide information to assist the client to hire, at the client’s sole expense, trade services including, but not limited to, lighting, Audio/Video, décor, valet service, coat check, catering and floral companies. All trades providing services at the Premises must provide the venue with a certificate of insurance as outlined in Exhibit B. The venue receives no compensation relative to trade services hired by the client, makes no guarantees as to the quality of services provided by said trade services, and assumes no responsibility for their performance. The venue will work in cooperation with trade services hired by the client within Ignite Glass LLC’s defined guidelines and at the discretion of Event Staff.
  15. INDEMNIFICATION:
    1. The client Indemnification: The client hereby indemnifies, defends, and holds Ignite Glass LLC, its members, partners, officers, agents and employees (collectively “Ignite Glass LLC), harmless from and against any and all liabilities, claims, losses, lawsuits, judgments, and/or expenses, including reasonable attorneys’ fees, arising directly or indirectly, from (a) any act, omission or negligence of the client or its agents, employees, or guests, and/or (b) any performance or failure to perform by the client under this Agreement. In case any action or proceeding is brought against Ignite Glass LLC, and the foregoing indemnity is applicable to such action or proceeding, upon notice from Ignite Glass LLC, the client shall resist and defend such action or proceeding. The provisions of this agreement shall survive the expiration or termination of this Agreement.
    2. The Venue Indemnification: The venue hereby indemnifies, defends and holds the client harmless from and against any and all liabilities, claims, losses, lawsuits, judgments, and/or expenses, including reasonable attorneys’ fees, caused by (a) the sole gross negligence of Ignite Glass LLC, its employees, agents or contractors, and/or (b) any breach of Ignite Glass LLC’s obligations hereunder. In the event that any action or proceeding is brought against the client, and the foregoing indemnity is applicable to such action or proceeding, then Ignite Glass LLC, upon notice from The client, shall resist and defend such action or proceeding. Notwithstanding anything to the contrary set forth in this License Agreement, the provisions of this agreement shall survive the expiration or termination of this Agreement.
  16. TABLES & CHAIRS ($400): 40 -White Folding Chairs with White Padding, 10 - 36” Round Cabaret Tables, 10 – 30” Highboy Tables. Setup and breakdown are handled by the caterer.
  17. INTERACTIVE GLASSBLOWING DEMONSTRATION ($500): Guests will observe and interact with the artists while they work with 2,000 degree molten glass, creating a piece that will go into Ignite’s gallery. To keep the glass object being made during the demonstration there is an additional fee of $300. The object can be picked up 5 days after the event or shipped at an additional charge.
  18. UPLIGHTS ($500): 12 color-changing LED, wireless Uplights.
  19. ADDITIONAL RENTAL TIME ($1000): 2 additional hours for venue rental used as set-up or breakdown time, for a rental period of 12 hours instead of 10.

RULES AND REGULATIONS: Exhibit A

  1. PRODUCTION MEETING/SCHEDULE:
    For Weddings, Bar/Bat Mitzvahs and events with expected guest counts exceeding 200 people, a final walk through must take place at Ignite Glass Studios with the client, Caterer, contracted Vendors and Ignite Glass Studios Event Manager at least 30 days prior to the contracted event date. A complete floor plan indicating the locations of tables and other equipment is also to be supplied two (2) weeks prior to the Event Date.
    One (1) week prior to the Event Date, the client will need to provide Ignite Glass Studios Event Manager a delivery and pick-up schedule of all contracted Vendors. Ignite Glass Studios must approve all deliveries and pick-up times. Special arrangements can be requested.
    The client agrees to provide a Schedule/Timeline indicating all companies and or independent contractors providing services to the Event, from arrival to completion of cleanup, not less than two (2) weeks prior to the Event Date. The client also agrees to provide a Contact list that includes the companies and or independent contractors’ names, on-site managers and phone numbers scheduled on the Event Date.
  2. DELIVERY/SET-UP:
    Deliveries will only be accepted on the contracted Event Date, during the contracted setup times, unless otherwise approved by Ignite Glass Studios Event Manager. Deliveries will only be accepted through the loading dock at the northeast end of the building. Both Alley and Urban Garden gates can only be opened by Ignite Glass Studios Event Manager.
    The client’s Staff and its contracted Vendors’ Staff are expected to work during set-up as quietly as possible during Ignite Glass Studios business hours. A Representative of Ignite Glass Studios must be present to supervise, subject to a fee, any installation including but not limited to, any A/V equipment, staging, lighting, decorations. Clients may contact Ignite Glass Studios Event Manager to inquire about availability and additional fee(s).
  3. POST EVENT STRIKING/PICK-UP:
    The client’s contracted Vendors and/or Caterer are expected to strike all tables, chairs and all other rentals, after each Event in all Event Spaces. All rented equipment must be removed from the facility during the contracted Vendor Breakdown End Time. The contracted caterer is expected to sweep and mop the Catering Kitchen and Event Spaces. The Caterer must provide the necessary cleaning materials and products. Ignite Glass Studios does not loan its cleaning materials and products. All catering equipment and or Event décor must be removed within the designated end time listed on the agreement.
  4. CLEANING/RESTROOMS:
    All Trash is to be placed into trash receptacles that are to be provided by the contracted caterer. The Caterer is expected to take all trash off-premises at the end of the night.
    Sidewalks, doorways, halls, stairways or similar areas shall not be used for the disposal of trash, be obstructed or be used for any purpose other than ingress and egress to and from the Premises and for going from one part of the Building to another part of the Building. Trash (including paper towels and feminine products) is to be placed into trash receptacles. No trash is to be placed in or flushed down the toilets. The client will be responsible for the cost of repairs required as a result of trash in toilets.
  5. UTILITIES:
    The venue shall supply the Licensed Space with normal utilities (e.g., general lighting, ventilation and heat/air conditioning to be provided during the Event operating periods only) for the License Period, except when prevented by accidents or other causes beyond the reasonable control of Ignite Glass LLC, including extreme weather conditions. The venue reserves the right to control and regulate, in its discretion, the temperature of the Licensed Premises and to operate and control the heat/air conditioning of the Licensed Premises.
  6. SPECIAL EFFECTS/CANDLES:
    The client and any person that the client hires or employs may not use special effects, materials and or equipment during the Event. Effects including but not limited to those employing fire, fireworks, water, confetti, balloons, sparklers, glitter, silly string, spray paint, smoke, or fog, are specifically prohibited.
    Only fully contained candles (including the flame) are allowed in the building. No exposed flames of any kind are permitted on the premises.
  7. DÉCOR/SIGNAGE/ADVERTISEMENT:
    All signs, advertisements and or notices and its placements shall be subject to Ignite Glass Studios Event Manager prior written approval. Without prior consent, no nails, hooks, or screws shall be driven or inserted into any part of the building and no curtains or other window treatments shall be placed. No wires, fabrics, lighting fixtures shall be hung onto the ceiling or over the heat and air conditioning conducts.
  8. SMOKING:
    As required by law, smoking is prohibited inside the building, on the rooftop deck and in the urban garden. Smoking is permitted not less than 15 feet from the entry doors. A post Event cleaning fee in an amount of no less than $300.00 may be charged to the client. Cleaning to include but not limited to, removal of cigarettes butts.
  9. ALCOHOL/ILLEGAL DRUGS:
    Any alcohol that is on the Premises can only be served by a licensed Bartender or a licensed Caterer. No alcoholic beverages may be brought and consumed outside the Licensed Premises during the continuation of or after the closing of the Event. No alcohol other than provided by an approved seller can be brought into the Event Space by guests. No illegal substances are allowed anywhere on the premises.
  10. ANIMALS:
    Animals are not permitted in the Event Space and Urban Garden, with the exception of service animals to assist handicapped persons.
  11. TELEPHONE/INTERNET/ELECTRIC:
    Should internet, telegraphic, telephonic, enunciator or other communication services be required, Ignite Glass Studios will direct the electricians as to where and how wires are to be introduced and placed, and none shall be introduced or placed except as Ignite Glass Studios shall direct.
    Electric current shall not be used for power or heating without Ignite Glass Studios’ prior written permission. Any electrical requirements and set up must be coordinated with Ignite Glass Studios Event Manager, TWO (2) WEEKS IN ADVANCE, any changes, additions or supervision by an electrician is subject to a fee.
  12. SAFETY/FIRE SAFETY:
    Tables, chairs, staging, bars and any other equipment brought into the building must be located in compliance with the local Fire Department regulations pertaining to mandatory aisles and fire exits. The client acknowledges that decorations, props, lighting and staging brought into Ignite Glass Studios may be subject to approval by the city and local Fire Department. In addition, the client undertakes full responsibilities and agrees not to exceed the posted attendance limitations imposed and set forth by the local fire department.
    Caterer will comply with all security procedures during business hours and after hours and on weekends. No flammable or explosive fluids or materials shall be kept or used within the building except in areas approved by Ignite Glass Studios Event Manager, in compliance with all applicable building and fire codes relating thereto. No weapons of any kind are permitted on the premises.
  13. USE OF THE PREMISES:
    The client must use the Premises in a manner satisfactory to Ignite Glass LLC. The client must confine its activities at the Facility strictly to those of its Licensed Premises and must not obstruct access to the Facility, interfere with the transaction of the business of Ignite Glass LLC, obstruct public access or convenience, jeopardize the safety of persons or property, or cause justifiable public criticism. The client must control its sound amplification usage so that noise levels do not exceed reasonable limits.
    The venue licenses its principle Event Space Ignite Glass Studios for special events with the expectation and understanding that the clients, their guests, patrons, employees, contracted vendors, etc. will behave in a respectable fashion while on the premises including, but not limited to, not handling, leaning on or in any way jeopardizing the safety and/or value of the merchandise of the store or the fixtures of the building; not behaving in a drunken or otherwise disorderly fashion; and not creating a dangerous or uncomfortable environment by cursing, yelling or fighting.
  14. CHILDREN:
    Children are to be supervised at all times and are not to be permitted to handle or play around the merchandise in the store front and in the hot shop studio. In the case of damage occurring as a result of a child, the child’s parent or guardian will be responsible for the full retail cost of the item or any required repairs.
  15. GUESTS/VENDORS PARKING:
    Street parking available. Vendors may park along the wall near the loading dock.

    The client/Caterer(s) and all other Vendors’ policies including Workers’ Compensation must provide “Waiver of Subrogation”

    Acknowledgement of this provision must be shown on the Certificate of Insurance.

    The client, its members, partners, officers, agents and employees, caterer and other vendors will not be allowed on the premises until the venue has received certificates of insurance and any revisions which meet these requirements. Non-receipt of certificate of insurance will not be deemed a waiver of the insurance requirements.     The venue shall supply the Licensed Space with normal utilities (e.g., general lighting, ventilation and heat/air conditioning to be provided during the Event operating periods only) for the License Period, except when prevented by accidents or other causes beyond the reasonable control of Ignite Glass LLC, including extreme weather conditions. The venue reserves the right to control and regulate, in its discretion, the temperature of the Licensed Premises and to operate and control the heat/air conditioning of the Licensed Premises.
  6. SPECIAL EFFECTS/CANDLES:
    The client and any person that the client hires or employs may not use special effects, materials and or equipment during the Event. Effects including but not limited to those employing fire, fireworks, water, confetti, balloons, sparklers, glitter, silly string, spray paint, smoke, or fog, are specifically prohibited.
    Only fully contained candles (including the flame) are allowed in the building. No exposed flames of any kind are permitted on the premises.
  7. DÉCOR/SIGNAGE/ADVERTISEMENT:
    All signs, advertisements and or notices and its placements shall be subject to Ignite Glass Studios Event Manager prior written approval. Without prior consent, no nails, hooks, or screws shall be driven or inserted into any part of the building and no curtains or other window treatments shall be placed. No wires, fabrics, lighting fixtures shall be hung onto the ceiling or over the heat and air conditioning conducts.
  8. SMOKING:
    As required by law, smoking is prohibited inside the building, on the rooftop deck and in the urban garden. Smoking is permitted not less than 15 feet from the entry doors. A post Event cleaning fee in an amount of no less than $300.00 may be charged to the client. Cleaning to include but not limited to, removal of cigarettes butts.
  9. ALCOHOL/ILLEGAL DRUGS:
    Any alcohol that is on the Premises can only be served by a licensed Bartender or a licensed Caterer. No alcoholic beverages may be brought and consumed outside the Licensed Premises during the continuation of or after the closing of the Event. No alcohol other than provided by an approved seller can be brought into the Event Space by guests. No illegal substances are allowed anywhere on the premises.
  10. ANIMALS:
    Animals are not permitted in the Event Space and Urban Garden, with the exception of service animals to assist handicapped persons.
  11. TELEPHONE/INTERNET/ELECTRIC:
    Should internet, telegraphic, telephonic, enunciator or other communication services be required, Ignite Glass Studios will direct the electricians as to where and how wires are to be introduced and placed, and none shall be introduced or placed except as Ignite Glass Studios shall direct.
    Electric current shall not be used for power or heating without Ignite Glass Studios’ prior written permission. Any electrical requirements and set up must be coordinated with Ignite Glass Studios Event Manager, TWO (2) WEEKS IN ADVANCE, any changes, additions or supervision by an electrician is subject to a fee.
  12. SAFETY/FIRE SAFETY:
    Tables, chairs, staging, bars and any other equipment brought into the building must be located in compliance with the local Fire Department regulations pertaining to mandatory aisles and fire exits. The client acknowledges that decorations, props, lighting and staging brought into Ignite Glass Studios may be subject to approval by the city and local Fire Department. In addition, the client undertakes full responsibilities and agrees not to exceed the posted attendance limitations imposed and set forth by the local fire department.
    Caterer will comply with all security procedures during business hours and after hours and on weekends. No flammable or explosive fluids or materials shall be kept or used within the building except in areas approved by Ignite Glass Studios Event Manager, in compliance with all applicable building and fire codes relating thereto. No weapons of any kind are permitted on the premises.
  13. USE OF THE PREMISES:
    The client must use the Premises in a manner satisfactory to Ignite Glass LLC. The client must confine its activities at the Facility strictly to those of its Licensed Premises and must not obstruct access to the Facility, interfere with the transaction of the business of Ignite Glass LLC, obstruct public access or convenience, jeopardize the safety of persons or property, or cause justifiable public criticism. The client must control its sound amplification usage so that noise levels do not exceed reasonable limits.
    The venue licenses its principle Event Space Ignite Glass Studios for special events with the expectation and understanding that the clients, their guests, patrons, employees, contracted vendors, etc. will behave in a respectable fashion while on the premises including, but not limited to, not handling, leaning on or in any way jeopardizing the safety and/or value of the merchandise of the store or the fixtures of the building; not behaving in a drunken or otherwise disorderly fashion; and not creating a dangerous or uncomfortable environment by cursing, yelling or fighting.
  14. CHILDREN:
    Children are to be supervised at all times and are not to be permitted to handle or play around the merchandise in the store front and in the hot shop studio. In the case of damage occurring as a result of a child, the child’s parent or guardian will be responsible for the full retail cost of the item or any required repairs.
  15. GUESTS/VENDORS PARKING:
    Street parking available. Vendors may park along the wall near the loading dock.

    Acknowledgement of this provision must be shown on the Certificate of Insurance.

    The client, its members, partners, officers, agents and employees, caterer and other vendors will not be allowed on the premises until the venue has received certificates of insurance and any revisions which meet these requirements. Non-receipt of certificate of insurance will not be deemed a waiver of the insurance requirements.
